Welcome to www.cimigo.vn (‘Site’), which is owned and operated by Cimigo Vietnam.
These Terms and Conditions (‘Terms’) govern the use of this Site and any order for content that you place, in particular, the rights you acquire to use such content. By using the Site, regardless of whether or not you choose to register, you are agreeing to be bound by these Terms. You should therefore read them carefully to understand your rights and liabilities before placing an order or using the Site.

1 USE AND LIMITATIONS OF USE OF CONTENT

1.1 Permission to use content
When you buy any of our content in digital form, what you are buying is the right to use it (or extracts from the same) for your own reference in connection with your business in the following ways only:

• to download a copy of that digital content in an available electronic format,
• to store that content in electronic format on the drive of one hardware device,
• to print out a copy of that digital content,
• to share that report internally within the legal entity that purchased it,

provided that you keep intact all and any copyright and proprietary notices

1.2 Restrictions for use of content
Any rights not expressly granted in these Terms are reserved. This means that you may not use the content in any way not permitted above, in particular:

• You may not offer the content for resale.
• You may not scan, photocopy, fax, or in any other way reproduce or copy the content.
• You may not share the content with anybody else unless they are an employee of the legal entity that purchased or downloaded the report.
• You may not distribute the content whether by electronic mail, over any network or otherwise.
• You may not upload the content to any database or server.
• You may not display the content on any website or intranet.

When you buy any of our content in print on paper format (‘hard copy’), you are permitted to use it in accordance with the copyright notice included with such content and in accordance with copyright laws.

 
2 ACCESS AND REGISTRATION
You are free to browse the Site without registering. However, if you want to purchase reports or download free reports, you have to register. When you register you must ensure that all the information you provide is true, accurate, current and complete in all respects.
Each registration is for a single user only. You may not share your registration details with any other person.

 
3 CONTENT AVAILABLE ON THE SITE
Cimigo offers for purchase various types of market research reports on the Site. For details of how you can use this content please see Use and Limitations of Use of Content in point 1 above.

3.1 e-documents:
Most of the reports are available in digital format and downloadable as pdf documents. To view e-documents, you need to install Adobe pdf reader on your computer. You can download adobe reader for free here: http://get.adobe.com/reader/

3.2 Hard copy reports:
Some of the reports are available as hard copies. These reports are marked as ‘hard copy’ and will be sent to your postal address by regular mail. Unless specified otherwise, hard copy reports will not be available in any electronic format.

4 PURCHASING CONTENT

4.1 Placing an order
To be eligible to place an order for content on the Site, you must register by providing your real name, address, phone number, e-mail address and other required information.
To place an order, you have to add at least one report to your shopping cart, view your shopping cart, and proceed to payment. You will have the opportunity to choose between different methods of payment (see details in 5). If your order does not include payment (if your order only contains free reports), the documents will be available for you immediately.

4.2 Cancelling your order
Cimigo may decline your order for any reason, in which case Cimigo will send you an e-mail telling you so. If the reason for declining your order is because Cimigo cannot obtain authorisation of your payment details for any reason, then Cimigo may invite you to pay by another method.
If a payment by bank transfer has not succeeded within 4 weeks, Cimigo will cancel your order and notify you be email that your order was cancelled.
 

5 PAYMENT METHODS
You have two different options of payment: payment by bank transfer or payment by credit card (the credit card payment option might not be available at times).

5.1 Payment by bank transfer
The following procedure will be applied for bank transfer payments:.

• You have to enter the registered company name and the tax code (MST number) of your company (if applicable). This information would be inserted in a Ministry of Finance VAT included invoice (‘red invoice’) issued to you.
• After submitting the order, you will be able to download an electronic invoice (pdf) with an overview of your purchased items and payment details. You will also receive an email with an order confirmation. The electronic invoice will be stored in your personal profile under ‘Order history’ and can be downloaded at any time.
• Your company will have to transfer the due amount to the specified bank account on the invoice.
• When the transfer is completed, you will receive a confirmation e-mail with and a link to download your e-documents.
• Depending on your order, Cimigo will send you any hard copies and / or red invoice by regular mail.

5.2 Payment by Credit Card
The following procedure will be applied for Credit Card payments:

• You have to enter the registered company name and the tax code (MST number) of your company (if applicable). This information would be inserted in a Ministry of Finance VAT included invoice (‘red invoice’) issued to you. 
• After confirming your order, you will be redirected to the website of OnePay. You will have to enter your credit card type and other information (accepted credit cards: MasterCard, Visa, American Express, Diners Club and JCB). The credit card payment process will be administered by OnePay. Cimigo will have no access to your credit card information.
• If your credit card payment is successful, you will be redirected to the Cimigo Site and see a confirmation screen where you can download your receipt. You will also receive a confirmation e-mail with and a link to download your e-documents.
• Depending on your order, Cimigo will send you any hard copies and / or red invoice by regular mail.

 
6 PRICES
6.1 Documents for sale
The prices for content quoted on the Site include VAT. You will find the total cost of your order in your ‘Shopping Cart’ before you submit your order. All prices are quoted in Vietnamese Dong (VND).
The price includes costs for delivery in Vietnam. For delivery outside Vietnam, shipping costs will be charged additionally.

6.2 Free documents
Some documents are available for free (e-documents only). These documents are marked with ‘free’ and you can download them without going through the payment process. However, to download these reports you have to create your profile first.

7 ACCESS TO/DELIVERY OF PURCHASED CONTENT

7.1 Access to e-documents

• If your payment was received, you will receive within 3 days after the payment a confirmation e-mail with and a link to download your e-documents.
• You can download your purchased e-documents any time by logging in to your profile and go to the ‘Available documents’ section.
• Every e-document will be available to download a maximum of 5 times.

7.2 Delivery of hard copies

• Hard copies will be delivered within 7 working days after payment to your postal address.
• If delivery is not possible in this time frame, Cimigo will contact you be e-mail and update about the status of delivery.
   

8 CANCELLING / AMENDING ORDERS

• Cimigo may decline your order for any reason, in which case Cimigo will send you an e-mail telling you so.
• Although Cimigo tries very hard to ensure that all information on the Site is accurate, occasionally errors may occur. As such, if Cimigo discovers a material error in the price or description of any content that you have ordered, Cimigo will let you know and ask whether you wish to continue with your order or cancel it.
• To avoid any doubt, as this Site and its content is intended for business use, you do not have an automatic right to cancel your orders with Cimigo.
• Cimigo reserves the right to terminate any contract with you if your payment is not processed for any reason, but you have nevertheless received the content you ordered. In such an event, Cimigo may notice you to withdraw your right to use such content (as described in Use and Limitations of Use of Content ) and require you to delete or return such content as appropriate.
   

 9 GENERAL

9.1 Your usage of the site
Cimigo encourages your use of the Site and our content on the Site. However, Cimigo requires that your use of the Site is lawful. Consequently, you may not use the Site for any illegal purpose and in particular you will not interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site.

9.2 Indemnity
You agree to indemnify, defend and hold harmless Cimigo, its directors, officers, employees and licensors from and against any claim, liability, cost, damage or loss Cimigo may incur (including reasonable legal fees) as a result of any actions you take which disrupt access to and/or functioning of the Site and/or any breach by you of your obligations under these Terms, including but not limited to any breach by you of the permissions granted to you under Use and Limitations of Use of Content.

9.3 Changes to these Terms and the Site
Cimigo may change these Terms at any time by sending you an e-mail with the modified Terms or by posting a copy of them on the Site. Any changes will take effect seven (7) days after the date of the e-mail or the date on which Cimigo posts the modified Terms on the Site, whichever is the earlier. Your continued use of the Site after that period expires means that you agree to be bound by the modified Terms.

9.4 Entire agreement
These Terms govern Cimigo’s relationship with you and represent Cimigo’s entire agreement with you in connection with your use of the Site and the content made available via the Site.

9.5 Assignment
You may not assign, sub-license or otherwise transfer any of your rights under these Terms.

9.6 Waiver
If you breach these Terms and Cimigo chooses to ignore your breach, Cimigo will still be entitled to use the rights and remedies available to it at a later date or in any other situation where you breach the Terms again.

9.7 Exclusion of third party rights
These Terms do not create any right enforceable by any person who is not a party to this Agreement.

9.8 Governing law and jurisdiction
Any disputes or claims arising out of or in connection with the contract are governed by and construed in accordance with the laws of Vietnam. Any dispute not amicably settled within 30 (thirty) days from the date when the dispute first arose shall be fully and finally settled by Vietnamese competent court.
